Agreement for Ordering, Purchase, and Delivery of Goods

This agreement is an official and public offer by the Seller to conclude a purchase and sale agreement for the Goods presented on the website https://greenrose.od.ua/. This agreement is public, meaning that in accordance with Article 633 of the Civil Code of Ukraine, its terms are одинаковы for all buyers regardless of their status (individual, legal entity, or sole proprietor) without giving preference to any buyer.

By entering into this Agreement, the Buyer fully accepts the terms and conditions of placing an order, payment, delivery, returns, liability for dishonest orders, and all other terms. The Agreement is considered concluded at the moment the Buyer clicks the “Confirm Order” button on the checkout page in the “Cart” section and receives an electronic confirmation from the Seller.

1. Definitions

1.1. Public Offer (Offer) — a public proposal by the Seller addressed to an indefinite number of persons to conclude a remote purchase agreement under the terms of this Offer.

1.2. Goods or Services — the object of the agreement selected by the Buyer on the website and placed in the cart or already purchased remotely.

1.3. Online Store — the Seller’s website https://greenrose.od.ua/, created for concluding retail and wholesale sales agreements via the Internet.

1.4. Buyer — a legally capable individual over 18 years old or a legal entity / sole proprietor.

1.5. Seller — Sole Proprietor “Kiselova Anna Serhiivna” (Tax ID 3751604148), Ukraine, Odesa, Razumovska Street, 28.

2. Subject of the Agreement

The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

The Agreement is considered concluded when the Buyer submits an order and receives confirmation from the Seller.

3. Placing an Order

The Buyer places an order independently via the website, email, or phone.

The Seller has the right to refuse the order if the provided information is incomplete or unreliable.

Required information:

  • full name
  • delivery address
  • contact phone number
  • tax ID (for legal entities / sole proprietors)

The Buyer is responsible for the accuracy of the provided information.

4. Price and Delivery

  • All prices are indicated in UAH and include VAT
  • Delivery cost is paid separately
  • Prices may change, except for already paid goods
  • Payment obligations are considered fulfilled once funds are received by the Seller

The Buyer must inspect the goods upon receipt.

5. Rights and Obligations of the Parties

The Seller must:

  • deliver the goods
  • not disclose personal information

The Seller has the right to:

  • change the terms and prices

The Buyer must:

  • review the agreement terms
  • provide accurate information

6. Returns

  • Returns are allowed within 14 days
  • Goods must be unused and in original condition
  • Refunds are processed within 30 days
  • Return delivery is at the Buyer’s expense

Custom-made goods are non-returnable.

7. Liability

The Seller is not liable for:

  • improper use of goods
  • incorrect information provided by the Buyer

Both parties are exempt from liability in case of force majeure.

8. Confidentiality and Data Protection

By providing personal data, the Buyer consents to its processing.

The Seller undertakes not to disclose personal data except as required by law.

9. Other Terms

  • The Agreement is governed by the laws of Ukraine
  • Disputes are resolved through negotiations or in court
  • The Seller may amend the Agreement unilaterally
